This Content Upload Policy ("Policy") governs the submission, upload, transmission, and use of any content by users of the Imentiv Inc. platform ("Imentiv", "Imentiv AI", "we", "us" or "our"). This Policy forms an integral part of, and must be read together with, the Imentiv Terms of Service, Privacy Policy, Data Processing Agreement (DPA), and any applicable Supplemental Terms (collectively, the "Agreement"). Capitalized terms not defined in this Policy shall have the meanings assigned to them in the Terms of Service.
By uploading, submitting, or transmitting any content to the Imentiv AI Platform, you acknowledge that you have read, understood, and agree to be bound by this Policy.

The purpose of this Policy is to ensure lawful, ethical, secure, and responsible use of the Imentiv AI Platform.
For the purposes of this Policy, "User Content" or "Customer Content" includes, without limitation:
As between you and Imentiv, you retain all right, title, and interest in and to your User Content, subject to the licenses granted under the Agreement.
Imentiv does not claim ownership over User Content or outputs generated from such content, except as expressly permitted under the Agreement.
By uploading or submitting User Content, you represent, warrant, and covenant that:
You shall not upload, submit, transmit, or otherwise make available any User Content that:
You acknowledge that the Imentiv AI Platform may process facial data, voice data, and other information that may be classified as biometric data under applicable laws.
You are solely responsible for ensuring full compliance with all applicable biometric privacy and data protection laws, including obtaining explicit, informed, and written consent where required.
You agree that any failure to comply with biometric or data protection laws in connection with User Content may expose you to legal liability, for which you agree to indemnify Imentiv in accordance with the Agreement.
User Content that includes, relates to, depicts, or is derived from individuals under the age of eighteen (18) years ("Minors"), including students, may be uploaded to the Imentiv AI Platform only where such upload is strictly lawful and compliant with this Policy, the Agreement, and all applicable child protection, education, privacy, and data protection laws.
Where User Content involves Minors, you represent and warrant that you have obtained, and shall maintain on record:
Without limiting Section 5 (Prohibited Content), you shall not upload any User Content involving Minors that:
If you are uploading User Content relating to Minors in an educational or institutional context, you represent and warrant that:
Imentiv reserves the right, at its sole discretion, to:
where Imentiv reasonably believes that such content poses legal, ethical, or safety risks, or violates this Policy or applicable law.
You acknowledge that User Content involving Minors carries heightened legal and ethical obligations. You agree to fully indemnify and hold harmless Imentiv from any claims, penalties, damages, or regulatory actions arising out of or related to your failure to comply with this Section.
You are solely responsible for how you use, distribute, display, or rely upon any outputs, reports, media files, or interactive media generated using your User Content. You must ensure that such use:
Imentiv does not proactively monitor or review User Content and assumes no responsibility for such content.
Notwithstanding the foregoing, Imentiv reserves the right, at its sole discretion and without prior notice, to:
where Imentiv reasonably believes that User Content violates this Policy, the Agreement, or applicable law, or poses legal, security, or reputational risk.
Any violation of this Policy constitutes a material breach of the Agreement and may result in one or more of the following actions:
Imentiv expressly disclaims all liability arising from or related to User Content, including any claims based on legality, accuracy, or use of such content. You acknowledge that all User Content is uploaded and used at your own risk.
Imentiv may revise or update this Content Upload Policy from time to time. Updated versions will be made available on the Imentiv AI Platform and will become effective in accordance with the Agreement. Continued use of the platform after such updates constitutes acceptance of the revised Policy.
Any user who believes that any User Content, action, omission, or operation of the Imentiv AI Platform violates this Policy, the Agreement, or applicable law, or who is otherwise aggrieved in relation to content upload, processing, moderation, or removal, may submit a grievance or complaint to Imentiv.
Grievances must be submitted in writing and should include, to the extent reasonably practicable:

Imentiv shall use commercially reasonable efforts to acknowledge receipt of a grievance within a reasonable timeframe and to investigate and resolve the grievance in good faith. Resolution timelines may vary depending on the nature, complexity, and legal or technical requirements of the grievance.
Where necessary to prevent harm, comply with legal obligations, or mitigate risk, Imentiv may take interim measures during the pendency of a grievance, including temporary suspension of access, restriction of content, or removal of User Content.
Submission of a grievance under this Policy does not waive any rights or remedies available to either the user or Imentiv under the Agreement or applicable law.
